Terms of Service

These Terms of Service ("Terms") govern your use of VAS - Verapath Analytics Seller ("VAS", the "Service"), operated by Yulien Oliva Carmona ("we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.

1. What the Service is

The Service is a research and record-keeping tool for people who resell products on Amazon. Through our website, browser extension, and mobile app (including a barcode scanner), it helps you look up product data, check whether your account can sell a product, estimate Amazon fees and profitability, and keep basic inventory, sales, and expense records.

2. Relationship with Amazon

The Service is independent and is not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. "Amazon" and related marks are trademarks of Amazon.com, Inc. or its affiliates.
Some features require you to connect your own Amazon Seller Central account through Amazon's official authorization process. You confirm that you are authorized to connect that account and that your use of the Service complies with the agreements and policies Amazon applies to you as a seller.
You can disconnect your Amazon account at any time with the "Disconnect Amazon" button in Settings, which deletes the access credential we store. You can also revoke the Service's access from Seller Central or by contacting us. Some features will stop working while your account is disconnected.
Our access depends on Amazon's Selling Partner API, which Amazon can change, limit, or withdraw. We are not responsible for changes Amazon makes.

3. What the Service is not

It is not financial, legal, tax, or investment advice.
It does not guarantee that any product will be profitable. Price history, sales estimates, fees, and ROI figures come from third-party data (Amazon and Keepa) and from numbers you enter, and they can be wrong or out of date.
It does not guarantee that Amazon will let you sell a product, even if the Service showed it as not restricted when you checked. Amazon's rules can change at any time.

4. Your account

You must be at least 18 years old and use the Service for your business. You are responsible for keeping your login credentials secure and for activity under your account. Accounts are for one person or business and may not be shared or resold. Tell us right away at support@verapathanalytics.com if you believe your account has been accessed without permission.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis (for example, monthly) through Stripe, at the price shown when you subscribe. Prices exclude any applicable taxes.
Your subscription renews automatically until you cancel. You can cancel at any time from your account settings; access continues until the end of the period you already paid for, and you will not be charged again.
If we offer a free trial, its length is shown when you sign up. When it ends, paid features require an active subscription.
Payments are non-refundable, and we do not give partial refunds for unused time, except where required by law.
Plans may include usage limits (for example, number of searches). Any limits that apply to your plan are shown inside the Service. We may limit use that is far beyond normal individual use or that harms the Service.
We will give you at least 30 days' notice before changing the price of your subscription. The new price applies from your next billing period; you can cancel before then.
If a payment fails, we may pause paid features until it is resolved.

6. Acceptable use

You agree not to:

use the Service for any unlawful purpose or in a way that violates Amazon's policies;
share your account, or resell or redistribute data obtained through the Service;
scrape, bulk-extract, or automate access to the Service beyond your own normal use;
attempt to disrupt, overload, reverse-engineer, or bypass the security or usage limits of the Service or the third-party services it relies on (Amazon SP-API, Keepa, Stripe).

7. Optional AI connector

We may provide an optional connector that lets an AI assistant you choose (such as Claude Desktop) use the Service on your behalf. It runs on your computer, under your account. You are responsible for its configuration and for how the AI provider handles the results; that provider's terms apply to your use of it.

8. Your data

You keep ownership of the business records you enter (inventory, sales, expenses). You give us permission to store and process them only to provide the Service to you. How we handle your information, including information from Amazon, is described in our Privacy Policy.

9. Changes and availability

We may add, change, or remove features, including when a third-party provider changes its terms or availability. We will give reasonable notice of changes that significantly reduce what your paid plan includes. The Service may occasionally be unavailable for maintenance or for reasons outside our control.

10. Termination

You may stop using the Service at any time, and you can delete your account yourself from Settings or by emailing us. We may suspend or close accounts that violate these Terms, misuse the Service, or put our access to Amazon or other providers at risk. If we close your account without cause, we will refund the unused portion of your current paid period.

11. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, reliability, or fitness for a particular purpose, to the fullest extent permitted by law.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including lost profits, inventory losses, or Amazon account actions, arising from your use of the Service or reliance on any estimate it provides. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

13. Indemnity

You agree to cover claims and costs brought against us arising from your violation of these Terms, of Amazon's policies, or of the law.

14. Governing law

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law rules.

15. Changes to these Terms

If we make material changes, we will update the date above and notify you inside the Service or by email before they take effect. Continuing to use the Service after that means you accept the new Terms.

Estos Términos de Servicio ("Términos") regulan el uso de VAS - Verapath Analytics Seller ("VAS", el "Servicio"), operado por Yulien Oliva Carmona ("nosotros"). Al crear una cuenta o usar el Servicio, aceptas estos Términos y nuestra Política de Privacidad.

1. Qué es el Servicio

El Servicio es una herramienta de investigación y registro para quienes revenden productos en Amazon. Mediante nuestro sitio web, la extensión de navegador y la app móvil (que incluye un escáner de códigos de barras), te ayuda a consultar datos de productos, revisar si tu cuenta puede vender un producto, estimar tarifas de Amazon y rentabilidad, y llevar registros básicos de inventario, ventas y gastos.

2. Relación con Amazon

El Servicio es independiente y no está afiliado, respaldado ni patrocinado por Amazon.com, Inc. ni sus filiales. "Amazon" y las marcas relacionadas son marcas registradas de Amazon.com, Inc. o sus filiales.
Algunas funciones requieren que conectes tu propia cuenta de Amazon Seller Central mediante el proceso oficial de autorización de Amazon. Confirmas que estás autorizado a conectar esa cuenta y que tu uso del Servicio cumple los acuerdos y políticas que Amazon te aplica como vendedor.
Puedes desconectar tu cuenta de Amazon en cualquier momento con el botón "Desconectar Amazon" de Ajustes, que borra la credencial de acceso que guardamos. También puedes revocar el acceso del Servicio desde Seller Central o escribiéndonos. Algunas funciones dejarán de funcionar mientras tu cuenta esté desconectada.
Nuestro acceso depende de la Selling Partner API de Amazon, que Amazon puede cambiar, limitar o retirar. No somos responsables de los cambios que haga Amazon.

3. Qué no es el Servicio

No es asesoría financiera, legal, fiscal ni de inversión.
No garantiza que ningún producto sea rentable. El historial de precios, las ventas estimadas, las tarifas y el ROI provienen de datos de terceros (Amazon y Keepa) y de cifras que tú ingresas, y pueden ser incorrectos o estar desactualizados.
No garantiza que Amazon te permita vender un producto, aunque el Servicio lo haya mostrado sin restricción cuando lo revisaste. Las reglas de Amazon pueden cambiar en cualquier momento.

4. Tu cuenta

Debes tener al menos 18 años y usar el Servicio para tu negocio. Eres responsable de mantener seguras tus credenciales y de la actividad en tu cuenta. Cada cuenta es para una persona o negocio y no puede compartirse ni revenderse. Avísanos de inmediato a support@verapathanalytics.com si crees que alguien accedió a tu cuenta sin permiso.

5. Suscripciones y cobros

Los planes de pago se cobran por adelantado y de forma recurrente (por ejemplo, cada mes) mediante Stripe, al precio mostrado cuando te suscribes. Los precios no incluyen impuestos aplicables.
Tu suscripción se renueva automáticamente hasta que la canceles. Puedes cancelarla en cualquier momento desde los ajustes de tu cuenta; conservas el acceso hasta el final del periodo ya pagado y no se te volverá a cobrar.
Si ofrecemos una prueba gratuita, su duración se indica al registrarte. Al terminar, las funciones de pago requieren una suscripción activa.
Los pagos no son reembolsables y no damos reembolsos parciales por tiempo no usado, salvo cuando la ley lo exija.
Los planes pueden incluir límites de uso (por ejemplo, número de búsquedas). Los límites que apliquen a tu plan se muestran dentro del Servicio. Podemos limitar un uso muy superior al uso individual normal o que perjudique el Servicio.
Te avisaremos con al menos 30 días de anticipación antes de cambiar el precio de tu suscripción. El nuevo precio se aplica desde tu siguiente periodo de cobro; puedes cancelar antes.
Si un pago falla, podemos pausar las funciones de pago hasta que se resuelva.

6. Uso aceptable

Te comprometes a no:

usar el Servicio con fines ilegales o de una forma que incumpla las políticas de Amazon;
compartir tu cuenta, ni revender o redistribuir datos obtenidos con el Servicio;
extraer datos de forma masiva, hacer scraping o automatizar el acceso al Servicio más allá de tu uso normal;
intentar interrumpir, sobrecargar, hacer ingeniería inversa o saltarse la seguridad o los límites de uso del Servicio o de los servicios de terceros en los que se apoya (Amazon SP-API, Keepa, Stripe).

7. Conector opcional para asistentes de IA

Podemos ofrecer un conector opcional que permite a un asistente de IA que elijas (como Claude Desktop) usar el Servicio en tu nombre. Funciona en tu computadora, con tu cuenta. Eres responsable de su configuración y de cómo el proveedor de IA maneja los resultados; a tu uso de ese proveedor se le aplican sus propios términos.

8. Tus datos

Conservas la propiedad de los registros de tu negocio que ingresas (inventario, ventas, gastos). Nos das permiso para guardarlos y procesarlos solo para prestarte el Servicio. Cómo manejamos tu información, incluida la que proviene de Amazon, se describe en nuestra Política de Privacidad.

9. Cambios y disponibilidad

Podemos agregar, cambiar o quitar funciones, incluso cuando un proveedor externo cambie sus términos o su disponibilidad. Avisaremos con antelación razonable los cambios que reduzcan de forma importante lo que incluye tu plan de pago. El Servicio puede no estar disponible ocasionalmente por mantenimiento o por causas fuera de nuestro control.

10. Terminación

Puedes dejar de usar el Servicio en cualquier momento, y puedes borrar tu cuenta tú mismo desde Ajustes o escribiéndonos. Podemos suspender o cerrar cuentas que incumplan estos Términos, hagan mal uso del Servicio o pongan en riesgo nuestro acceso a Amazon u otros proveedores. Si cerramos tu cuenta sin causa, te reembolsaremos la parte no usada de tu periodo pagado.

11. Exclusión de garantías

El Servicio se ofrece "tal cual" y "según disponibilidad", sin garantías de ningún tipo, expresas o implícitas, incluidas la exactitud, la fiabilidad o la idoneidad para un fin concreto, en la máxima medida que permita la ley.

12. Limitación de responsabilidad

En la máxima medida que permita la ley, no somos responsables de daños indirectos, incidentales, especiales o consecuentes, incluidas ganancias perdidas, pérdidas de inventario o acciones de Amazon sobre tu cuenta, que surjan del uso del Servicio o de confiar en cualquier estimación que ofrezca. Nuestra responsabilidad total por cualquier reclamación se limita a lo que nos pagaste en los 12 meses anteriores a la reclamación.

13. Indemnización

Aceptas cubrir las reclamaciones y costos que se presenten contra nosotros por tu incumplimiento de estos Términos, de las políticas de Amazon o de la ley.

14. Ley aplicable

Estos Términos se rigen por las leyes de el estado de Arizona, Estados Unidos, sin considerar sus normas sobre conflicto de leyes.

15. Cambios a estos Términos

Si hacemos cambios importantes, actualizaremos la fecha de arriba y te avisaremos dentro del Servicio o por correo antes de que entren en vigor. Si sigues usando el Servicio después, aceptas los nuevos Términos.
